Boards and state corporations in Kenya operate under growing scrutiny, from regulators, lenders, the public, and the courts. Our governance advisory practice, led by a Certified Public Secretary, helps organisations build governance systems that meet the MWONGOZO Code and international best practice, and helps directors understand and meet their obligations.
What our governance advisory practice covers
- Governance audits aligned to the MWONGOZO Code for state corporations and private bodies
- Board charters, committee structures, and delegation-of-authority frameworks
- Company secretarial services: statutory registers, filings, and board support
- Compliance programmes under the Companies Act 2015
- Director training and advisory on duties, conflicts, and related-party transactions
- Regulatory engagement and remediation of audit findings
What is the MWONGOZO Code?
MWONGOZO is the Code of Governance for State Corporations issued in 2015, applying CGJK-recognised principles of leadership, integrity, transparency, and accountability to state-owned entities. Governance audits against MWONGOZO examine board composition and performance, internal controls, stakeholder management, and compliance systems, and are increasingly referenced in performance contracting and public scrutiny.
Why commission a governance audit?
An independent audit identifies governance gaps before they become regulatory findings or public controversies, supports board renewal with an objective baseline, and, for entities seeking financing or partnerships, provides counterparties with documented assurance. We deliver findings with practical, prioritised remediation steps rather than abstract scoring.
